NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THIS SWEEPSTAKES. A PURCHASE OR PAYMENT WILL NOT INCREASE OR IMPROVE YOUR CHANCES OF WINNING.

1.GENERAL. The “2007/2008/2009 tripplertravel.com/Vacation Passport Sky High Giveaway” (this “Sweepstakes”) is a sweepstakes where eligible entrants will have the chance to win US Airways vouchers good for domestic and international airline tickets and Las Vegas vacation packages during twenty-seven (27) separate monthly drawings.Eligible entrants may enter each monthly drawing online only up to five (5) times during the applicable monthly drawing entry period through www.myvacationpassport.com or www.tripplertravel.com. The foregoing is a general description only of this Sweepstakes and is qualified in its entirety by these Official Rules.

2.ELIGIBILITY. This Sweepstakes is only open to entrants who, as of the entry date, are legal residents of the contiguous United States (i.e., excluding the States of Alaska and Hawaii) or the District of Columbia, excluding the States of Florida and New York, are at least eighteen (18) years old, and have internet access and a valid email account. This Sweepstakes is void in Alaska, Florida, Hawaii, New York; outside the remaining contiguous United States and the District of Columbia; and where prohibited or restricted by law. Employees, officers and directors of Provell, Inc.(“Sponsor”), US Airways, their respective parents, subsidiaries, affiliates, divisions, advertising and promotion agencies, and the immediate families (defined as parents, spouses, children, siblings, grandparents, and their respective spouses) or members of the same household (whether related or not) of each such employee, officer and director, are not eligible to enter. This Sweepstakes, and any website pages and advertisements relating thereto, is intended for viewing only within the contiguous United States (i.e., excluding the States of Alaska and Hawaii) and the District of Columbia, excluding the States of Florida and New York, and entrants must be present in such eligible territory at the time they enter.

3.TIMING.  This Sweepstakes consists of twenty-seven (27) separate monthly drawings (each, a “Monthly Drawing”).The entry periods for the Monthly Drawings are as follows (each, an “Entry Period”): All times listed are Central Standard Time. Sponsor's computer is the official timekeeping device for this Sweepstakes.

4.HOW TO ENTER.  To enter a Monthly Drawing in this Sweepstakes, go to www.myvacationpassport.com or www.tripplertravel.com to the Sweepstakes section of the website and follow the links and instructions for online entry. Completely fill out the online entry form and submit it in accordance with the on-screen instructions. No other entry method is permitted or will be accepted. LIMIT:  Five (5) entries per person for each Monthly Drawing. An eligible entry is valid only for the Monthly Drawing corresponding to its Entry Period. All entries for a Monthly Drawing must be received by Sponsor during the applicable Entry Period for such Monthly Drawing to be valid for such Monthly Drawing. At the time of entry you may be asked to complete a short survey and/or opt in to receiving email and other materials from Sponsor and its marketing partners; completing the survey and opting in to receiving such materials is optional and is not necessary to enter or win this Sweepstakes. Any attempt by any entrant to obtain more than the stated number of entries by using multiple/different email addresses, identities, registrations or logins, or any other methods will void that entrant’s entries and that entrant will be disqualified. In the event of a dispute as to the identity of an online entrant, the authorized account holder of the email address used to enter will be deemed to be the entrant. Potential winners may be required to show proof of being the authorized account holder. The “authorized account holder” is the natural person assigned to an email address by an Internet Service Provider, online service provider, or other organization responsible for assigning email addresses for the domain associated with the submitted email address. All entries will be deemed to have been made by the authorized account holder of the submitted email address. Submitting mass entries or entries generated by a script, macro or use of automated devices is prohibited and will result in disqualification. All entries become the exclusive property of Sponsor and none will be acknowledged or returned. Proof of online submission or mailing will not be deemed to be proof of receipt of entry by Sponsor.

5.AGREEMENT TO OFFICIAL RULES AND DECISIONS.  By participating in this Sweepstakes, each entrant fully and unconditionally agrees to be bound by and accepts these Official Rules and the decisions of Sponsor (including, without limitation, decisions regarding eligibility of entries, the selection of entrants and winners, and the awarding of prizes), which are final and binding in all respects.

6.DRAWINGS; ODDS; NOTIFICATION.  On or about ten (10) business days after the conclusion of the applicable Entry Period for a Monthly Drawing, Sponsor will randomly select the number of potential prize winners as identified in Section 7 below from among all eligible entries received by Sponsor during the Entry Period for such Monthly Drawing.Odds of winning a prize in a Monthly Drawing depend on the number of eligible entries received by Sponsor for such Monthly Drawing.The entrant selected (and if applicable, his/her parent or legal guardian) must comply with all terms and conditions of these Official Rules, and winning is contingent upon fulfilling all requirements. A potential winner will be notified by email, US mail, overnight courier or phone.A potential winner will be required to execute and return to Sponsor an Affidavit of Eligibility, a Liability Release and, except where prohibited by law, a Publicity Release (an “Affidavit/Release”) in order to claim the prize. Such Affidavit/Release must be returned to Sponsor by the date and/or time indicated within such documents. All prizes will be sent via registered or certified United States mail within seven (7) days after Sponsor receives all required confirmation information from potential winner. If the potential winner is deemed a minor in his/her state of residence, the Affidavit/Release must be executed by the potential winner’s parent or legal guardian, on behalf of the minor and on behalf of the parent or legal guardian. If the potential winner cannot be contacted or does not respond to the prize notification from Sponsor within ten (10) days of the first attempt to contact him/her, or if the potential winner (or, if applicable, his/her parent or legal guardian) fails to return the Affidavit/Release within the specified time, or if the potential winner is found to be ineligible, or if the potential winner (or, if applicable, his/her parent or legal guardian) does not comply with the Official Rules, then the potential winner may be disqualified and an alternate winner may be selected by Sponsor in his/her place at random from among all eligible non-winning entries for the same Monthly Drawing.

7.PRIZES. Subject to the terms and conditions of these Official Rules, prizes will be awarded in each Monthly Drawing, as follows:

a.In each of Monthly Drawings 1, 2 and 3, one (1) winner will receive a US Airways voucher redeemable for two (2) US Airways roundtrip domestic airfare tickets. Approximate retail value (“ARV”) of each prize: $1,280; total ARV for each of Monthly Drawing 1, 2 and 3: $1,280.See below for additional details and restrictions

b.In each of Monthly Drawings 4, 5, 7, 9, 10, 12, 14, 16, 17, 18, 19, 21, 22, 25, 26 and 27, two (2) winners will each receive a US Airways voucher redeemable for two (2) US Airways roundtrip domestic airfare tickets.ARV of each prize: $1,280; total ARV for each of Monthly Drawing 4, 5, 7, 9, 10, 12, 14, 16-19, 21, 22, 25-27: $2,560.See below for additional details and restrictions.

c.In each of Monthly Drawings 6, 13, 15, 20, and 24, one (1) winner will receive a US Airways voucher redeemable for two (2) US Airways roundtrip airfare tickets to Las Vegas, Nevada, two (2) nights hotel lodging in the Las Vegas area, and ground transportation to/from the Las Vegas airport and hotel (hotel and ground transportation as determined by US Airways).ARV of each prize: $800; total ARV for each of Monthly Drawing 6, 13, 15, 20, and 24: $800.See below for additional details and restrictions.

d.In Monthly Drawing 11, two (2) winners will each receive a US Airways voucher redeemable for two (2) US Airways roundtrip airfare tickets to Las Vegas, Nevada, two (2) nights hotel lodging in the Las Vegas area, and ground transportation to/from the Las Vegas airport and hotel (hotel and ground transportation as determined by US Airways).ARV for each prize: $800; total ARV for Monthly Drawing 11: $1,600.See below for additional details and restrictions

e.In each of Monthly Drawings 8 and 23, five (5) winners will each receive a voucher redeemable for two (2) US Airways roundtrip international airfare tickets. ARV for each prize: $10,100; total ARV for each of Monthly Drawings 8 and 23: $50,500. See below for additional details and restrictions.

Total ARV of all prizes to be awarded in this Sweepstakes: $151,400. Actual value of prizes may vary depending on market conditions, including fares and rates at time of booking, and the location of the winner’s departure/arrival city.If actual value of prizes is less than the stated ARV, the difference will not be awarded in cash.

Domestic US Airways flights consist of round-trip coach-class airfare between one (1) origination point and one (1) final destination point within the United States and the District of Columbia, each of which is serviced by US Airways at the time the flight is booked; provided however, for the Las Vegas trip prizes above, the final destination point shall be Las Vegas Nevada. International US Airways flights consist of (i) round-trip coach-class airfare between one (1) origination point and a US Airways dedicated international hub within the United States and the District of Columbia, each of which is serviced by US Airways at the time the flight is booked and (ii) round-trip Envoy-class airfare between such hub and one (1) final destination point in Europe also serviced by US Airways at the time the flight is booked. Travel and accommodations are subject to availability and restrictions, including, without limitation, the terms and conditions of the US Airways vouchers and US Airways’ other applicable terms and conditions (including, without limitation, required booking and travel dates, blackout dates, and change and cancellation fees). Winners must redeem vouchers and book travel through US Airways, and comply with all terms and conditions of redemption (including without limitation execution and delivery of any documents required by US Airways). Vouchers are non-assignable and valid for one (1) year after issuance.

Winners and companion are responsible for obtaining proper documentation (e.g., valid passport (if required), valid photo ID, etc.) and all necessary travel authorizations prior to travel. Winner and companion are subject to governmental, airline, and other applicable rules, regulations, and guidelines, including safety and security rules. Sweepstakes prizes are limited solely to the US Airways vouchers described in this Section 7, and all costs and expenses related to the prize or the use thereof not stated in the applicable voucher, including but not limited to additional transportation costs, airline change fees, lodging, meals, taxes (including income taxes), gratuities, insurance, surcharges and other expenses incurred by accepting and using the prize are the sole responsibility of the winner. A winner’s companion must be eighteen (18) years of age or over; provided, however, the winner’s companion may be under eighteen (18) only if accompanied by at least one (1) adult who is the parent or legal guardian of the minor companion. Winner’s companion must execute and deliver to Sponsor a form of consent and release in the form provided by Sponsor as a condition to use of any component of the prize; any minor companion’s consent and release must also be executed by the minor’s parent or legal guardian. Unused components of a prize shall be forfeited and have no redeemable cash value. A selected entrant must comply with all terms and conditions of these Official Rules, and winning is contingent upon fulfilling all requirements. Prizes are non-transferable and non-assignable, and are not refundable. Prizes must be accepted as awarded, and prizes are awarded “AS IS” with no warranty, representation, or guarantee, express or implied, in fact or in law, made by Sponsor or for which Sponsor shall be liable, including, without limitation, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT OR FITNESS FOR A PARTICULAR PURPOSE. No substitution, transfer or assignment of a prize is permitted, except by Sponsor, who reserves the right (but has no obligation) to substitute a prize (or a component thereof) with another prize (or component thereof, including cash) of equal or greater value if the prize is not available for any reason as determined by Sponsor in its sole discretion. Winner is solely and fully responsible for any and all costs, fees, taxes, assessments and expenses associated with prize award, receipt and use, including, without limitation, all applicable international, federal, state and local taxes on the prize. Winner will be issued an IRS Form 1099 for the value of the prize. LIMIT: One prize per person/family/household in this Sweepstakes.

8.PUBLICITY.  Except where prohibited by law, participation in the Sweepstakes constitutes the winner’s consent to Sponsor’s (and its successors’, assignees’ and designees’) use of winner’s name, biography, likeness, voice, photographs, video, statements, opinions, hometown, state and country for promotional purposes in any manner or media (including, without limitation, online), worldwide, in perpetuity, and without further payment, consideration, notice or consent. 

9.GENERAL CONDITIONS.  Sponsor reserves the right, in its sole discretion, to terminate, modify or suspend this Sweepstakes if, in Sponsor’s opinion, there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of this Sweepstakes, or if viruses, bugs, unauthorized intervention, fraud, technical difficulties, acts of God or failures or any other factor beyond Sponsor’s reasonable control corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes.In such event, Sponsor reserves the right in its sole discretion (but does not have any obligation) to award a prize or prizes at random from among eligible, non-suspect entries received up to the time of suspected impairment. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of this Sweepstakes or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately damage any website or undermine the legitimate operation of this Sweepstakes is a violation of criminal and civil laws, and, should such an attempt be made, Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law.
Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that or any other provision of these Official Rules.

10.RELEASE.  By entering, each entrant forever and irrevocably releases and holds harmless Sponsor and its parents, subsidiaries, divisions and affiliates, and their respective agents, advertising and promotion agencies, affiliates, Sweepstakes partners and prize suppliers, and all of their respective employees, officers, directors, shareholders, members, managers, partners, owners and agents from and against all claims, damages or liabilities arising in whole or in part, directly or indirectly, from entrant’s participation and/or entry in this Sweepstakes and/or entrant’s award, receipt or use/misuse of any prize awarded in this Sweepstakes.

11.LIMITATIONS OF LIABILITY.  Sponsor is not responsible for: (a) incorrect or inaccurate transcription of entry information or late, lost, stolen, unintelligible, illegible, damaged, mutilated, altered, incomplete, or misdirected entries, or entries received through impermissible or illegitimate channels, all of which may be disqualified; (b) technical failures of any kind, including, but not limited to, the malfunctioning of any telephone, computer online systems, computer equipment, website, server provider, network, hardware or software; (c) the unavailability or inaccessibility of any website or service; (d) unauthorized intervention in any part of the entry process or this Sweepstakes; (e) printing, typographical, electronic or human errors which may occur in the offer or administration of this Sweepstakes or the processing of entries; or (f) any injury or damage to persons or property, including, without limitation, entrant’s computer, which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in this Sweepstakes, or from viewing, playing or downloading any material from Sponsor’s website(s), regardless of whether the material was prepared by Sponsor or a third party, and regardless of whether the material is connected to Sponsor’s website by a hypertext link.

12.DISPUTES. Entrant agrees that: (a) any and all disputes, claims, and causes of action arising out of or connected with this Sweepstakes, or any prizes awarded shall be resolved individually, without resort to any form of class action, and solely and exclusively in a federal or state court located in Hennepin County, Minnesota; entrant submits to sole and exclusive personal jurisdiction to said courts in the State of Minnesota for any such dispute and irrevocably waives any and all rights to object to such jurisdiction; (b) any and all claims, judgments, and awards shall be limited to actual out of pocket costs incurred, including costs associated with entering this Sweepstakes but in no event attorneys’ fees; and (c) under no circumstances will entrant be permitted to obtain awards for and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant or Sponsor in connection with this Sweepstakes shall be governed by, and construed in accordance with, the laws of the State of Minnesota, without giving effect to any choice of law or conflict of law rules of provisions (whether of the State of Minnesota, the United States, or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Minnesota.

These Official Rules are available at www.myvacationpassport.com or www.tripplertravel.com at the Sweepstakes section of the websites, or by sending a self-addressed postage-stamped envelope to “Sky High Giveaway – Rules Request”, Provell, Inc., P.O.Box 5265, Hopkins, MN 55343-2265.Residents of Vermont need not affix return postage.

14.WINNER’S LIST.  To request the name of the winners, send a self-addressed postage-stamped envelope to “Sky High Giveaway – Winner’s List Request”, Provell, Inc., P.O.Box 5265, Hopkins, MN 55343-2265. Requests must be received by April 30, 2010.
